1. Introduction

These Terms and Conditions (“Terms”) govern the use of advertising, event promotion, and programme listings on the Ninja Coach platform. By creating an account or submitting a listing, you agree to these Terms on behalf of yourself and/or the business you represent.

2. Definitions

• “Advertiser” – Any individual, company or entity listing services, events, or programmes
• “User” – Visitors or clients who browse and engage with listings on the platform
• “Listing” – Any profile, offer, coaching service, event, or programme published on the site
• “Platform” – The Ninja Coach website located at https://ninjacoach.co.uk

3. Eligibility

To use the Ninja Coach advertiser services, you must:

• Be 18 years or older
• Be legally authorised to represent your business or services
• Provide accurate and truthful information at all times

We reserve the right to verify identities and approve or decline listings at our sole discretion.

4. Listings and Content

Advertisers are solely responsible for:

• The accuracy, legality, and appropriateness of all listing content
• Ensuring all services offered are delivered as described
• Keeping information up to date and relevant
• Complying with all advertising, consumer protection, and GDPR laws

We reserve the right to remove or suspend any listing without notice if it violates these terms.

5. Use of the Platform

Advertisers agree:

• Not to mislead users or manipulate reviews
• Not to redirect users off-platform to avoid platform fees
• Not to misuse the system (e.g. spam, malware, scraping, impersonation)
• To treat all users with professionalism and respect

6. Payment Terms and Fees

• All paid listings and services are subject to the current pricing packages displayed on the platform.
• Coaching sessions, day rates, and event tickets purchased through Ninja Coach are processed via Stripe or PayPal.
• Ninja Coach retains a 6% service fee on all bookings and payments, which includes payment processing fees.
• Advertisers receive payouts within 7 working days after a completed booking or confirmed event, minus our fee.
• Failure to deliver booked services may result in refund requests, withheld payouts, or removal from the platform.

7. Events and Programmes

Advertisers may promote:

• Live or online events
• Masterclasses or group coaching
• Training programmes or workshops

All event listings must clearly state the title, date, duration, cost, and refund policy.
Ninja Business Ltd reserves the right to request proof of event legitimacy or qualifications.

8. Chargebacks and Payment Disputes

• Advertisers agree that all transactions processed via Ninja Coach are final unless an authorised refund is issued.
• Chargebacks initiated by users will be investigated. If a chargeback is successful, the amount will be deducted from future payouts or invoiced directly.
• Advertisers must provide proof of delivery, such as emails, signed agreements, or screenshots, to contest a dispute.
• Repeated or suspicious chargebacks may result in account suspension, listing removal, or a temporary security reserve being applied.
• Ninja Business Ltd is not liable for unauthorised user disputes or payment processor outcomes.

9. Intellectual Property

Advertisers retain ownership of their own content but grant Ninja Business Ltd a worldwide, royalty-free licence to display, promote, and adapt that content for platform use and marketing.

The design, branding, layout, and code of the Ninja Coach platform remains the exclusive property of Ninja Business Ltd. Reuse without permission is prohibited.

10. Termination

We reserve the right to suspend or terminate any advertiser account, with or without notice, in the event of:

• Breach of these Terms
• Fraudulent or unethical behaviour
• Failure to deliver services
• Excessive chargebacks or complaints

All unpaid fees will remain due upon termination.

11. Limitation of Liability

Ninja Business Ltd is not responsible for:

• Results, sales, or outcomes from listed services
• Disputes between advertisers and users
• Service interruptions or third-party platform outages
• Any indirect or consequential damages

Our liability is capped at the total fees paid to us in the 3 months preceding any claim.

12. Amendments

These Terms may be updated from time to time. Advertisers will be notified of material changes via email or in-platform notices.
Continued use of the platform constitutes acceptance of any updates.

13. Governing Law

These Terms are governed by the laws of England and Wales.
Any disputes shall be handled exclusively by the courts of England.

14. Marketing & Visibility

• Ninja Business Ltd actively markets the Ninja Coach platform through paid advertising campaigns, including Google Ads, Meta Ads, and other digital channels.
• We also operate an aggressive on-page and off-page SEO strategy to improve platform visibility and search engine performance.
• While every effort is made to maximise traffic and exposure, we do not guarantee results, lead volumes, or financial outcomes from any listing.
• Visibility is influenced by listing quality, keywords, package selection, reviews, and platform performance.
